These terms govern your use of IGMsg. Please read them carefully.

1. Acceptance of Terms

By accessing or using IGMsg (the "Service"), operated by IGMsg, you agree to be bound by these Terms & Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a legally binding agreement between you and IGMsg.

2. Description of Service

IGMsg is a Software-as-a-Service (SaaS) platform that enables Instagram Professional account owners to automate direct messages in response to comments posted on their media.

The Service includes, but is not limited to:

  • Connecting Instagram Professional accounts via secure OAuth
  • Syncing and displaying your Instagram media
  • Creating keyword-based automation rules
  • Sending direct messages on your behalf
  • Providing analytics and delivery reports

3. Eligibility and Account Registration

3.1 Eligibility

  • You must be at least 18 years of age to use the Service
  • You must have the legal capacity to enter into a binding contract
  • You must not be prohibited from using the Service under applicable laws
  • You must have a valid Instagram Professional account (Business or Creator)

3.2 Account Responsibilities

  • Provide accurate, current, and complete information during registration
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Be fully responsible for all activities that occur under your account
  • Not share or transfer your account without our prior written consent

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must NOT:

  • Send spam, unsolicited promotional content, or deceptive messages
  • Use the Service to harass, abuse, defame, or harm others
  • Attempt to circumvent Instagram's rate limits or messaging policies
  • Use the Service for illegal activities or to promote illegal products/services
  • Infringe upon the intellectual property rights of others
  • Impersonate any person or entity
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Interfere with or disrupt the Service, its servers, or infrastructure
  • Use automated tools (bots, scrapers) to access the Service without permission
  • Transmit viruses, malware, or malicious code
  • Collect or harvest user information without consent

Violation of this policy may result in immediate account suspension or termination without refund.

5. Instagram Platform Compliance

The Service operates through Instagram's messaging infrastructure. You acknowledge and agree that:

  • You are responsible for complying with Instagram's Community Guidelines and Terms of Use
  • Your use of the Service is also subject to Meta's Platform Terms and Developer Policies
  • Meta may change, limit, or discontinue API access at any time without notice
  • We are not responsible for actions taken by Meta or Instagram regarding your account
  • Message delivery is subject to Instagram's rate limits, messaging windows, and policies
  • You must not use the Service in ways that violate Instagram's policies

6. Subscription and Billing

6.1 Free and Paid Plans

We offer a free Starter plan with limited features, as well as paid subscription plans. Paid plans are billed in advance on a monthly or annual basis.

6.2 Payment Terms

  • Payments are processed through Stripe, our payment processor
  • You authorize us to charge your payment method for applicable fees
  • Subscriptions automatically renew unless canceled before the renewal date
  • All fees are non-refundable except as explicitly stated in our Refund Policy
  • Prices are subject to change with 30 days' notice to existing subscribers

6.3 Failed Payments

If payment fails, we will attempt to process it again over the next few days. If payment continues to fail, your account may be downgraded to the free plan or suspended until payment is received.

6.4 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • You retain access to paid features until the end of your current billing period
  • No prorated refunds are provided for partial billing periods
  • Your data is preserved for 30 days, after which it may be permanently deleted

7. Free Plan

We offer a free forever plan (Starter) that includes 1 Instagram account, 1 automation, and 1,000 DMs/month. No credit card is required to sign up and no time limit applies - the free plan is permanent. You can upgrade to a paid plan at any time, and paid plans are protected by our 14-day money-back guarantee (see the Refund Policy).

8. Intellectual Property

8.1 Our IP

The Service, its original content, features, functionality, design, logos, and trademarks are and will remain the exclusive property of IGMsg. The Service is protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain all rights to content you create, upload, or transmit through the Service (including automation messages and settings). By using the Service, you grant us a limited license to store, process, and transmit this content solely to provide the Service.

9. User-Generated Content

You are solely responsible for any messages, content, or materials you send through the Service. You represent and warrant that:

  • You have all necessary rights and permissions to the content you transmit
  • Your content does not violate any laws or third-party rights
  • Your content is accurate, not misleading, and complies with these Terms

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability, fitness for a particular purpose, or non-infringement
  • That the Service will be uninterrupted, secure, error-free, or meet your requirements
  • That any information obtained through the Service will be accurate or reliable

We do not guarantee specific delivery times, message rates, or results from using the Service.

11. Limitation of Liability

To the maximum extent permitted by law, IGMsg and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of revenue, profits, or business opportunities
  • Loss of data or content
  • Issues with your Instagram account or third-party services
  • Service interruptions or downtime
  • Actions taken by Meta/Instagram affecting your account

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless IGMsg, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Content you transmit through the Service

13. Termination

We may suspend or terminate your access to the Service at our sole discretion, without notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Any behavior that harms the Service or other users

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive.

14. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and IGMsg regarding your use of the Service.
